Does Obama's grasp of alternate media sources and methods make him a better leader? You are welcome to make up your own mind on that one, but in my opinion it at least makes him a more relevant one. I'm a little more at peace with the likes of designer Scott Thomas hired to work on Obama's campaign than some of the political "wranglers" hired to keep other politicians "in line". Apples and oranges maybe, but if a politician doesn't have to worry about his or her own gaffs, then maybe they have more time to focus on the message and how it gets delivered.

West 49 turns down offer, rejects Adrenalina's takeover bid.

As reported in Sports One Source newsletter SGB Update;

West 49 Rejects Adrenalina's Takeover Offer

West 49 Inc. said its board of directors has unanimously rejected theunsolicited proposal from Adrenalina "as it does not believe that pursuing Adrenalina’s proposal is in the best interests of West 49 Inc. or its shareholders." The board of directors noted that Adrenalina is an unlisted U.S. public company that has recently indicated that it does not have the financial resources to file its legally required annual report, that has an unproven business model and operates a very small number of highly expensive retail stores in the U.S., and that has recently made a similar and unsuccessful unsolicited attempt to acquire Pacific Sunwear of California, Inc.West 49 Inc. affirms that it has had no prior discussions with Adrenalina regarding this or any other type of potential transaction and is not aware of any interest previously expressed by Adrenalina in West 49 Inc.’s business.As reported, Adrenalina on Monday Adrenalina made a bid to acquire West 49 Inc., the Burlington, Ont.-based action sports retailer. Adrenalina made an offer of Canadian 55 cents per share in cash and stock, valuing West 49 at Canadian $35 million (U.S. $29.7 million).

Dear Kenneth:
I am writing as Chairman and Chief Executive Officer of Adrenalina to propose a combination of our companies in a negotiated transaction that provides for the purchase by Adrenalina of all issued and outstanding shares of common stock of West 49 Inc. ("WEST49") for a payment of 0.55 Canadian Dollars per share, consisting of a combination of cash and stock of Adrenalina. The transaction will require the approval of the Board of Directors of WEST49 (WXX.to).
We are confident that this transaction will create value for WEST49 shareholders well in excess of that which can be achieved by your company proceeding on its own. Not only does the proposed acquisition price represent a premium to the current price of WEST49 shares, but the stock structure of the transaction would allow your shareholders to participate in the future growth and performance of the energized combined companies

. In addition, the business synergies from combining WEST49's substantial store footprint with Adrenalina's high-growth lifestyle retailing concept are compelling -- all the more so in this challenging economic environment.
Completion of the proposed transaction is anticipated to occur no later than August 2009 and is subject to customary conditions, including satisfactory completion of our due diligence, the execution of a definitive agreement between the two companies and completion of the funding, which we do not expect to present a problem.

This provides WEST49 with a tremendous new business growth path that will enhance the overall growth rate of WEST49. Furthermore because of WEST49's operational efficiencies of current infrastructure, purchasing power and back end operations, Adrenalina stores could leverage the backbone of WEST49 and open stores at a faster rate. The combined company could take meaningful advantage of landlords seeking Adrenalina stores.
In conclusion, combining with Adrenalina will achieve that trendsetter goal, drive revenue and improve profitability. The Adrenalina traffic level is highly coveted by suppliers, in conjunction with WEST49, this will drive considerable visibility to the combined company and ensure our success.

There are oversights and then there are complete mental meltdowns. In my last post I casually set out to thank an assortment of people who helped out and/or made the weekend at the Toronto Clothing show more bearable. In doing so I managed to over look the one individual who went the furthest out of his way and participated in most likely the most thankless task. John Lidstone drove down from Victoria Harbour for the end of the show on Sunday to help me pack up. With a still healing ankley John slogged heavy garment bags back and forth to my truck and managed to ring his bell a few times on the roof of the cab while loading. All so I could rush out of there to pick up my son in Barrie. Only to have me leave him out of my thanks in the last post.

Well, John, this post is for you and I'm truely sorry for my oversight. I'm gonna blame it on the lack of coffee and a combination of sleep deprivation and leftover exhaustion from the weekend.

Some days I really suck......and this is one of them.

Pizza for breakfast.

Okay, it's Monday morning and I'd rather be doing this than paying my bills (or the ones that I can afford for now)........and yes, I did have pizza for breakfast but what do you care (leftovers rule!!). I (and those others who kept me company) have survived "The Clothing Show" at the Better Living Center this past weekend and I wanted to thank the following people: Dallas (for the couch and the conversations), Natalie (for watching Keaghan), Jon (for an awesome late nite dinner), Trevor (for setting it up and helping me with move in and everything else), Brandon, Brady, Alex, Joe, Yuri, Terry and Connor for all stopping by, the My Pet Ninja guys for breaking the monotony, James (for lunch on Sunday) and the Cronnies' girls for brightening up the place and helping fight the boredem. If I can get them uploaded I'll post the pictures soon (all two of them). That's it for now....

Oh yeah, I didn't sell nearly as much as I thought I would. I still have over ten garment bags of clothing left; streetwear, outerwear, 1st layer, boardshorts to bikinis. If anyone wants to set up a private shopping session just drop me a line. It's all priced at or below cost!!
